Terms governing access to and use of Reponx, a B2B AI platform for network, cloud, and security operations.

These Terms of Service (“Terms”) govern your access to and use of Reponx (“Reponx,” “we,” “us,” or “our”), a B2B AI platform for network, cloud, and security operations.

By creating an account or using Reponx, you agree to these Terms and our Privacy Policy.

If you use Reponx on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.

1. The Service

Reponx provides tools for network, cloud, and security operations, including features such as:

  • AI Engineers and Supervisors
  • Projects and workspaces
  • Workflows and automations
  • Scheduled and event-driven tasks
  • Human approvals
  • Network connectors and device integrations
  • Connected applications
  • Knowledge and document processing
  • APIs, MCP tools, and related integrations

Features and limits may vary by plan and may change as the Service evolves.

Reponx is intended for business use and requires a valid company email address for registration.

2. Accounts and Security

You are responsible for:

  • Providing accurate account information
  • Protecting your passwords, API keys, credentials, and access tokens
  • Managing users and permissions within your workspace
  • Activities performed through your account
  • Ensuring that you have permission to connect systems, devices, applications, and data to Reponx

You must notify us promptly at support@reponx.com if you believe your account has been compromised.

3. Plans, Trials, and Billing

Reponx may offer Free, trial, paid, and Enterprise plans.

Plan features, usage limits, and pricing are displayed on our website, application, or at checkout.

Trial

Eligible customers may receive a 14-day free trial.

No payment will be automatically charged for the trial unless you choose to start a paid subscription.

When the trial ends without a paid subscription, access may automatically move to the Free plan and its applicable limits.

Paid subscriptions may be processed through Stripe.

Unless otherwise stated:

  • Subscriptions may be monthly or annual.
  • Paid subscriptions automatically renew until canceled.
  • You may cancel through the available billing settings.
  • Cancellation takes effect at the end of the current paid billing period.
  • Applicable taxes may be added.
  • Fees are non-refundable except where required by law.

We may update pricing for future billing periods with appropriate notice.

4. Your Content

You retain ownership of the content you submit to Reponx, including projects, prompts, workflows, knowledge files, device information, and other customer-provided materials (“Customer Content”).

You grant Reponx permission to host, process, transmit, and display Customer Content only as reasonably necessary to:

  • Provide the Service
  • Perform actions you request
  • Maintain security and reliability
  • Support functionality such as AI processing, integrations, and knowledge search

Reponx does not claim ownership of your Customer Content.

5. AI Engineers and Automated Actions

Reponx uses artificial intelligence and automation to perform tasks requested or configured by customers.

AI-generated information may be inaccurate, incomplete, or inappropriate for a particular environment.

You are responsible for reviewing AI recommendations and determining whether actions should be applied to your systems.

This is particularly important for:

  • Firewall and security-policy changes
  • Routing and network changes
  • Cloud infrastructure
  • Identity and access controls
  • Email or messaging actions
  • Data deletion
  • Production systems

Where available, Reponx may provide human approval controls to help review actions before execution.

You remain responsible for how you configure AI Engineers, automations, schedules, permissions, and connected systems.

Reponx does not guarantee that AI outputs or automated actions will always be accurate or error-free.

6. Connected Applications and Infrastructure

Reponx may connect to third-party services such as Google Workspace, Microsoft 365, Slack, Jira, GitHub, cloud platforms, network devices, and security platforms.

By connecting a service or device, you represent that you have authority to grant Reponx the required access.

You are responsible for:

  • Using appropriate permissions and least-privilege access
  • Following your organization’s change-management policies
  • Reviewing production changes where appropriate
  • Ensuring that connected data is processed lawfully

Third-party services remain subject to their own terms, policies, availability, and API limitations.

Reponx is not responsible for third-party outages, API changes, revoked access, or service interruptions outside our reasonable control.

7. Acceptable Use

You may not use Reponx to:

  • Violate applicable laws or regulations
  • Access systems, accounts, or data without authorization
  • Send spam, phishing, or malicious communications
  • Attack, exploit, disrupt, or overload systems
  • Upload or distribute malware
  • Circumvent security, rate limits, or plan restrictions
  • Misrepresent your identity or authorization
  • Infringe intellectual-property or privacy rights
  • Reverse engineer Reponx except where permitted by law
  • Resell or reproduce the Service without authorization
  • Use Reponx to develop or conduct unauthorized attacks against systems you do not own or have permission to test

Reponx is not designed to process regulated health information, payment-card data, or similarly restricted information unless expressly covered by a separate written agreement.

We may suspend or terminate accounts that violate these requirements.

8. Intellectual Property

Reponx and its licensors retain ownership of the Service, including its:

  • Software
  • User interface
  • Technology
  • Documentation
  • Templates
  • Branding
  • Logos and trademarks

Your subscription provides a limited, non-exclusive, non-transferable right to use Reponx for your authorized business purposes.

It does not transfer ownership of Reponx technology to you.

9. Privacy and Data Protection

Our Privacy Policy explains how Reponx collects, uses, protects, and processes personal information and Customer Content.

By using Reponx, you acknowledge our Privacy Policy.

Customers are responsible for ensuring that they have appropriate authority and legal grounds to provide data to Reponx and connect third-party systems.

Enterprise customers requiring additional data-protection terms may contact support@reponx.com regarding a Data Processing Addendum (DPA).

10. Confidentiality

Each party may receive confidential or non-public information from the other.

Each party agrees to use reasonable safeguards to protect such information and use it only for purposes related to providing or using the Service.

This obligation does not apply to information that is publicly available, independently developed, or lawfully received from another source.

11. Service Availability

We work to provide a reliable and secure Service, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of:

  • Maintenance
  • Software or infrastructure failures
  • Security incidents
  • Internet or cloud-provider outages
  • AI-provider outages
  • Third-party API changes
  • Events outside our reasonable control

Beta or preview features may change, contain errors, or be discontinued.

12. Disclaimers

To the maximum extent permitted by law, Reponx is provided “as is” and “as available.”

We do not guarantee that:

  • AI-generated information will always be accurate
  • Automated actions will always produce the intended result
  • The Service will always be uninterrupted or error-free
  • Third-party services will remain available
  • Reponx will meet every specific business or technical requirement

Reponx does not replace professional judgment or your organization’s change-control and security procedures.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Reponx will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, or loss of data.

Reponx’s total aggregate liability arising from the Service will not exceed the amount you paid to Reponx during the 12 months preceding the claim, or USD $100 if you used only a Free or unpaid trial plan.

These limitations do not apply where applicable law does not permit liability to be limited.

14. Indemnification

You agree to indemnify and hold Reponx harmless from third-party claims resulting from:

  • Your Customer Content
  • Unauthorized or unlawful use of Reponx
  • Systems or services you connect without appropriate authorization
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights

This applies to the extent permitted by applicable law.

15. Suspension and Termination

You may stop using Reponx or cancel a paid subscription at any time.

We may suspend or terminate access if:

  • You violate these Terms
  • Payment is overdue
  • Your use creates a security or legal risk
  • You abuse trials, integrations, APIs, or Service limits
  • Suspension is required by law or a third-party provider

After termination, your right to use the Service ends.

Customer Content may be deleted after a reasonable period, subject to our Privacy Policy, backups, and applicable legal requirements.

You should export information you wish to retain before closing your account.

16. Changes to the Service or Terms

We may update the Service and these Terms as Reponx evolves.

When these Terms change, we will update the effective date.

Material changes may also be communicated through the Service or by email where reasonably required.

Continued use of Reponx after updated Terms become effective constitutes acceptance of the revised Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

Before filing a legal claim, you agree to contact support@reponx.com and attempt to resolve the dispute informally.

Unless applicable law requires otherwise, disputes relating to these Terms or Reponx will be subject to the jurisdiction of the appropriate state or federal courts serving Fort Bend County, Texas.

18. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights under these Terms without our consent, except where permitted by law.

We may transfer these Terms as part of a merger, acquisition, restructuring, or sale of our business.

We are not responsible for delays or failures caused by circumstances beyond our reasonable control.

Enterprise agreements, order forms, or Data Processing Addendums may include additional terms. Where expressly stated, those signed agreements will control over conflicting provisions of these Terms.
